End-User License Agreement

Effective July 1, 2026


This End-User License Agreement ("Agreement") governs use of the internal software integration between IES's Salesforce environment and its QuickBooks Online company (the "Software"). The Software is proprietary to IES ("we," "us," or "our") and is provided for internal business use only. By accessing or using the Software, the authorized user ("you") agrees to this Agreement.

1. License Grant

We grant authorized personnel a limited, non-exclusive, non-transferable, revocable license to use the Software solely for our internal business purposes. The Software is not licensed, sold, or otherwise made available to the public or to any third party.

2. Restrictions

You may not: (a) distribute, sublicense, sell, or otherwise transfer the Software to any third party; (b) copy, modify, or create derivative works except as authorized by us; (c) reverse engineer or attempt to derive source code except to the extent permitted by law; or (d) use the Software in violation of applicable law or the Intuit Developer Terms of Service.

3. Ownership

The Software, including all associated intellectual property rights, is and remains the exclusive property of IES. No rights are granted except as expressly stated in this Agreement.

4. Third-Party Services

The Software interoperates with QuickBooks Online (Intuit Inc.) and Salesforce, Inc. Your use of those platforms is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or conduct of those third-party services.

5. Data

Use of the Software is also governed by our Privacy Policy, which describes how data accessed through the Software is handled.

6. Disclaimer of Warranties

The Software is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or secure.

7. Limitation of Liability

To the maximum extent permitted by law, IES will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or business, arising out of or related to the Software, even if advised of the possibility of such damages.

8. Termination

We may suspend or terminate access to the Software at any time. Upon termination, the license granted under this Agreement ends and you must cease all use of the Software.

9. Governing Law

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles.
